NOTE TO SHAREHOLDERS:

We've received many calls from shareholders asking if the vote went through and what happens next.
We hope the following information is helpful to you:

• The merger was approved at the Special Meeting for Shareholders on September 28, 2005.
• The closing of the merger was on Friday, September 30th.
• If you are a current registered shareholder, meaning you have the certificate in your possession, you will receive a letter of transmittal from our transfer agent (Continental Stock Transfer & Trust) shortly. This letter will have instructions on how to surrender your shares for payment. It will also tell you what to do if you've lost your certificate. Once you return the letter of transmittal, Continental will mail your payment directly to you.
• If you are a shareholder in street name, meaning through a broker, your broker will receive funds for your shares electronically and should contact you once they receive them.
